Terms of Service

Welcome to LocalSink, LLC (“we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our website located at https://localsink.com and the digital marketing services provided by LocalSink, LLC. By accessing our website or purchasing our services, you agree to be bound by these Terms.

1. Overview of Services LocalSink, LLC provides B2B digital marketing services, including but not limited to search engine optimization (SEO), Google Business Profile (GBP) optimization, pay-per-click (PPC) management, Local Services Ads (LSA), social media management, content creation, call tracking, and citation management. Specific scopes, deliverables, and pricing are governed by your individual client service agreement or active monthly retainer plan.  

2. Client Responsibilities & Access To perform our services, clients must provide timely access to necessary accounts (such as Google Analytics, Search Console, Google Ads, Meta Business Suite, website hosting/CMS, and third-party tools). LocalSink, LLC is not responsible for delayed deliverables, missed campaign schedules, or poor performance resulting from missing access credentials, delayed client reviews, or unapproved drafts.  

3. Retainers, Billing & Payment

  • Monthly Retainers: Services are billed on a recurring monthly retainer basis according to your selected plan. Retainers are payable in advance of each monthly billing cycle.  
  • Ad Spend: All third-party advertising costs (e.g., Google Ads, Meta Ads, Local Services Ads budget) are paid directly by the client to the respective ad platform and are separate from LocalSink, LLC’s agency service fees.  
  • Late Payments: Unpaid retainers may result in the immediate suspension of marketing management, active ad campaign pauses, or temporary hold on content production until fees are brought current.

4. No Guarantees & Marketing Disclaimers While LocalSink, LLC uses industry best practices to drive local traffic and inbound leads, we do not guarantee specific search engine rankings, conversion volumes, or financial returns. Search engine algorithms (such as Google), third-party directory rules, and ad platform policies change frequently and are outside our control. We are not liable for account suspensions, ad disapprovals, or organic rank shifts caused by third-party platform policy changes.  

5. Intellectual Property Rights

  • Client Assets: Clients retain full ownership of all pre-existing trademarks, branding, logos, and media provided to us.
  • Deliverables: Upon full payment of all invoice balances, clients receive ownership of custom marketing deliverables created specifically for them (such as custom site content, published blog posts, and edited media).  
  • Agency IP: LocalSink, LLC retains sole ownership of all underlying proprietary processes, strategies, internal templates, and campaign frameworks used to execute work.

6. Limitation of Liability To the fullest extent permitted by law, LocalSink, LLC, its members, employees, and independent contractors shall not be liable for any indirect, incidental, special, or consequential damages resulting from service usage or website access. Our maximum aggregate liability for any legal claim shall not exceed the total agency management fees paid by the client to LocalSink, LLC during the three (3) months preceding the claim.

7. Cancellation & Service Termination Either party may cancel a monthly recurring service agreement by providing thirty (30) days’ written notice prior to the start of the next billing cycle. Prepaid retainer fees are non-refundable.

8. Governing Law & Jurisdiction These Terms shall be governed by and interpreted under the laws of the State of Nevada, without giving effect to conflicts of law principles. Any legal proceedings arising from these Terms must be filed in state or federal courts located in Nevada.
